Terms and Conditions

These Terms and Conditions govern the provision of calibration, repair, preventative maintenance, and related laboratory services by Femto Scientific, Inc. to its clients. By engaging Femto Scientific for services, the client agrees to be bound by these terms.

Accreditation & Quality Standards

Femto Scientific is accredited to ISO/IEC 17025:2017 by an internationally recognized accreditation body. All calibration services are performed in accordance with this accreditation standard.

All measurements are traceable to the National Institute of Standards and Technology (NIST) and/or other recognized national measurement institutes. Calibration certificates issued by Femto Scientific reflect this traceability and are issued only within the scope of our accreditation.

Client Responsibilities

The client is responsible for ensuring the following prior to and during service:

• Providing safe and timely access to the facility and equipment designated for service
• Ensuring all equipment submitted or made available for service is clean, decontaminated, and safe to handle in accordance with applicable biosafety and laboratory safety standards
• Disclosing any known hazards, biological agents, chemical residues, or radiation exposure associated with the equipment
• Ensuring the service environment meets conditions necessary for accurate calibration (appropriate temperature, humidity, and vibration levels where applicable)
• Providing a designated point of contact to coordinate service scheduling and equipment access

Scheduling & Cancellation

Service appointments are scheduled in advance. To reschedule or cancel a confirmed service appointment without incurring fees, the client must provide a minimum of five (5) business days' notice prior to the scheduled service date.

Cancellations or reschedules made with less than 48 hours' notice are subject to a late cancellation fee. Femto Scientific reserves the right to invoice for reasonable costs incurred as a result of late cancellations, including travel expenses for onsite service visits.

Pricing & Payment

All invoices are due within Net 30 days of the invoice date unless otherwise agreed in writing. Overdue accounts are subject to a finance charge of 1.5% per month (18% per annum) on the outstanding balance.

Quoted prices do not include applicable sales tax, use tax, or other governmental charges, which will be added to the invoice as required by law.

Femto Scientific reserves the right to adjust pricing for services not included in an original quote, including but not limited to additional items presented at the time of service, additional work required due to equipment condition, or scope changes requested by the client.

Data Privacy

Femto Scientific treats all client data — including equipment records, calibration results, and business information — as confidential. Client data will not be disclosed to third parties except as required by law or as necessary to fulfill the services requested.

Disclosure of client data to accreditation body auditors may occur as part of maintaining our ISO/IEC 17025 accreditation. Such disclosures are limited to what is required for audit purposes and are subject to the auditor's own confidentiality obligations.

Limited Warranty

Calibration Services: If an instrument calibrated by Femto Scientific is found to be out of tolerance within 30 days of the calibration date under normal use conditions, Femto Scientific will perform a recalibration at no additional charge, provided the instrument has not been damaged, misused, or altered since the original calibration.

Repair Services: Parts replaced during repair services are warranted against defects in material and workmanship for a period of 90 days from the date of service.

These warranties do not apply to damage caused by accident, misuse, unauthorized modification, or failure to follow manufacturer or Femto Scientific operating instructions.

Limitation of Liability

Femto Scientific's total liability to the client for any claim arising from or related to the services provided shall not exceed the fees paid by the client for the specific service giving rise to the claim.

In no event shall Femto Scientific be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, regardless of the cause of action or the theory of liability, even if Femto Scientific has been advised of the possibility of such damages.

Indemnification

The client agrees to indemnify, defend, and hold harmless Femto Scientific, its officers, employees, and agents from and against any and all third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to the client's use or misuse of equipment serviced by Femto Scientific, the client's negligence or willful misconduct, or the client's breach of these Terms and Conditions.

Non-Solicitation

During the term of any service engagement and for a period of one (1) year following the last date of service, the client agrees not to directly solicit, recruit, hire, or engage — whether as an employee, contractor, or consultant — any current or former employee of Femto Scientific who was involved in providing services to the client.

The client acknowledges that a violation of this provision would cause irreparable harm to Femto Scientific. In the event of a violation, the client agrees to pay a fee equal to 250% of the applicable employee's annualized compensation as liquidated damages, in addition to any other remedies available at law or in equity.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms and Conditions or the services provided by Femto Scientific shall be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey. The client consents to personal jurisdiction in such courts.
